CHILI’S BIG SMASHER BURGERTIME COMPETITION OFFICIAL RULES. NO PURCHASE NECESSARY. OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, 18 OR OVER AS OF DATE OF GAME PLAY.

1. Contest Period: The Chili’s Big Smasher BurgerTime Competition (the “Competition”) begins at 9:00 AM Eastern Time (“ET”) on June 25, 2024 and ends at 11:59 p.m. ET on July 14, 2024 (the “Competition Period”). The entire duration of the Competition runs from July 14, 2024 until potential winners have been notified, verified and prizes have been awarded (“Entire Competition Period”).

2. Eligibility: Open to legal residents of the 50 United States and the District of Columbia, who are 18 years of age or older as of date of game play. Officers, directors, and employees of Brinker International Payroll Company, L.P. (“Sponsor”), Don Jagoda Associates, Inc. (the “Administrator”), and each of their respective affiliates, parents, subsidiaries, divisions, suppliers, distributors and advertising, promotional and judging agencies, and each of their respective shareholders, directors, officers, members and agents and their immediate family members (spouses, parents, children, and siblings and their spouses) and/or those living in the same household of each, are not eligible to participate or win. Void where prohibited by law and subject to all federal, state and local laws.

3. How to Play and Winner Determination: During the Competition Period, visit chilisburgertime.com (the “Website”) and login or signup for My Chili’s Rewards, then play the BurgerTime game (“Game Play”). The objective of the game is to attempt to achieve a high score in the game. The top three (3) highest scoring players will win one of the three (3) prizes (subject to verification) in the order described in Section 6 below. If there is a tie from among the top score getters, the Competition Prize winner will be deemed the participant who arrives at that highest score first. Additionally, the first two hundred and fifty (250) players to acquire all three (3) “3 For Me” bonuses in the game (fries, chips/salsa and a drink) will also win a Bonus prize (“Bonus Prize”), subject to verification. Winner determination will be made by Administrator and decisions are final on all matters relating to the winner determination. Participants can play the game as often as they wish. Game Plays must be complete by 11:59 p.m. ET on July 14, 2024.

All Game Plays must be complete to be eligible to win. All Game Plays become the property of Sponsor and will not be returned or acknowledged, and Sponsor will not verify receipt of Game Plays. All participants agree that, subject to applicable law, Sponsor and Sponsor's agents, affiliates or service providers may use participants' personal information submitted with Game Plays and/or play pursuant to the Sponsor’s privacy policy (See Section 11) and for purposes of prize fulfillment. No information regarding Game Plays, other than as otherwise set forth in these Official Rules, will be disclosed. Any attempt by any participant to participate by using multiple/different email addresses, accounts, identities and registrations or any other methods will void all Game Plays and that participant may be disqualified from participation in the Competition. Use of any automated or computer system to participate is prohibited and will result in disqualification. Normal Internet and/or telephone and data access and usage charges imposed by your online service may apply.

Incomplete, corrupted, or untimely Game Plays are void and will be disqualified. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen or misdirected Game Plays; lost, interrupted, or unavailable network, server, or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user's computer equipment (software or hardware), or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Proof of submission will not be deemed to be proof of receipt by Sponsor. In the event of a dispute as to the identity of participant, the authorized account holder of the email address used for Game Play will be deemed to be the participant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider, or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder. Game Plays/My Chili’s Rewards account specifying an invalid, non-working, or inactive email address will be disqualified and ineligible to win.

4. Winner Notification & Verification: Competition and Bonus Prize winners will be notified on or about three (3) days after the end of the Competition Period. All Competition and Bonus Prize winners are subject to verification of eligibility. Game Plays are subject to verification at the sole discretion of Sponsor. If, due to an error of any kind, more participants are deemed to be Bonus winners, or more prizes are claimed than are intended to be awarded, the intended number of Bonus Prizes will be awarded in a random drawing from among all verified prize claims received. In no event will Sponsor be obligated to award more than the stated number of prizes. Potential Competition Prize winners will be sent via email link a Declaration of Eligibility, Liability & Publicity Release (where legal) (collectively, “Declaration”) and will be required to complete, and sign the Declaration via email within three (3) business days of being notified in order to claim his/her prize. All Bonus Prizes will be awarded to eligible winners complying with these Official Rules within four (4) to six (6) weeks after verification is complete. Return of any prize or prize notification as undeliverable, or declining a prize for any reason, will result in disqualification and forfeiture of prize. If any potential Competition Prize winner fails to return the required Declaration within the required time period, or any prize notification is returned undeliverable, or in the event that any potential Competition Prize winner is disqualified for any reason, Sponsor will award the Competition prize to an alternate winner with the next highest score. Competition Prizes will be awarded provided a sufficient number of eligible Game Plays are received to award three (3) prizes. Unclaimed Bonus Prizes will not be awarded.

All potential winners are subject to verification by Sponsor and/or Administrator, whose decisions are final and binding in all matters related to the Competition. A participant is not a winner of any prize unless and until participant's eligibility has been verified and participant has been notified that verification is complete.

5. Prizes and Approximate/Retail Values (“ARV”):

One (1) First Place Competition Prize: A forty (40)-year supply of burgers, awarded as $31,200 in Chili’s Gift Cards and a $10,296 check to be used toward the payment of income taxes associated with the prize, plus a Chili’s Big Smasher BurgerTime arcade cabinet. Total ARV of the First Place Prize is $42,096.

One (1) Second Place Competition Prize: A Chili’s Big Smasher BurgerTime game cabinet (ARV $600).

One (1) Third Place Competition Prize: A Chili’s Big Smasher Burger Time game cabinet (ARV $600).

Two Hundred Fifty (250) Bonus Prizes: A free “3 For Me” meal, awarded in the form of a Chili’s e-gift card (ARV $15 each).

Limit one (1) Bonus Prize and one (1) Competition Prize per person/email address.

Prize Restrictions: Gift card/e-gift terms and conditions apply. Prizes cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion if any advertised prize (or portion of a prize) becomes unavailable. Winners are responsible for any loss of prize or portion of prize after it has been delivered. Sponsor will not replace any lost or stolen prizes. For prizes valued at $600 or more, a 1099 tax statement will be filed with the IRS for the actual total value of the prize for the winner. The winner will receive a 1099 form in the mail for the actual retail value of the prize, to be processed in the year in which they receive the prize. All federal, state, and local taxes as well as all costs and expenses associated with prize acceptance and use not specific herein as being provided are the winner’s responsibility.

The ARV of any prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules, and the date the prize is awarded or redeemed. If the actual purchase price of a prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference.

6. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Competition, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Competition, as determined by Sponsor in its sole discretion and in the event of cancellation, the Competition Prizes and all Bonus Prizes will be awarded based on scores and the first “3 For Me” bonuses completed in the game (up to two hundred fifty [250]) prior to cancellation. Proof of Game Plays or screenshots of scores will not be deemed proof of receipt by Sponsor or Administrator. Sponsor's or Administrator's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WARNING: ANY ATTEMPT BY AN PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE ASSOCIATED WITH THIS COMPETITION OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the Game Play process, and/or the legitimate operation of the Competition; to violate these Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. If, for any reason, the Competition is not capable of running as planned, including but not limited to, any fraud, technical failures or any other factor beyond Sponsor's reasonable control that impairs the integrity or proper functioning of the Competition, Sponsor may, in its sole discretion, void any suspect Game Plays and (a) modify the Competition or suspend the Competition to address the impairment and then resume the Competition in a manner that best conforms to the spirit of these Official Rules; or (b) award all Bonus Prizes claimed prior to cancellation, and if applicable, the Competition Prize will be awarded to the next highest score from among all eligible Game Plays received prior to cancellation up to the time of impairment.

7. Release and Limitations of Liability: By participating in this Competition, participants agree that Sponsor, Administrator, and each of their respective parents, affiliates, subsidiaries, franchisees, representatives, consultants, contractors, legal counsel, advertising, public relations, promotional, fulfillment and marketing agencies, website providers, web masters, and their respective officers, directors, employees, representatives and agents (the "Released Parties") are not responsible for: (1) any incorrect or inaccurate information, whether caused by participants, printing errors or by any of the equipment or programming associated with or utilized in the Competition; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Game Play process or the Competition; (4) technical or human error which may occur in the administration of the Competition or the processing of Game Plays; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participant's participation in the Competition or receipt or use or misuse of any prize. BY PARTICIPATING IN THIS COMPETITION, PARTICIPANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY PARTICIPANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF THE PRIZE, GAME PLAY, OR PARTICIPATION IN THIS COMPETITION OR IN ANY COMPETITION RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, PANDEMICS, OR TERRORISM.

BY PARTICIPATING IN THIS COMPETITION, PARTICIPANTS AGREE THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS COMPETITION OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM ANY SUCH SITE.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS COMPETITION, INCLUDING ALL PRIZES, ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS (INCLUDING NEW JERSEY) MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

8. Publicity: EXCEPT WHERE PROHIBITED BY LAW, WINNERS GRANT TO SPONSOR AND ADMINISTRATOR (WHICH GRANT WILL BE CONFIRMED IN WRITING ON REQUEST OF SPONSOR AND/OR ADMINISTRATOR), AND THOSE ACTING PURSUANT TO THEIR AUTHORITY, THE RIGHT AND PERMISSION TO PRINT, PUBLISH, BROADCAST, AND USE, WORLDWIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY TIME OR TIMES, EACH WINNER'S NAME, PORTRAIT, PICTURE, VOICE, LIKENESS, GAME PLAY, AND BIOGRAPHICAL INFORMATION FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION. PARTICIPANTS AGREE THAT SPONSOR SHALL OWN THE GAME PLAYS, WHICH WILL NOT BE ACKNOWLEDGED OR RETURNED, AND THAT SPONSOR AND ITS DESIGNEES SHALL HAVE THE PERPETUAL, WORLDWIDE RIGHT TO EDIT, PUBLISH, AND USE THE GAME PLAYS IN ANY WAY AND IN ANY MEDIA FOR TRADE, ADVERTISING, PROMOTIONAL, AND/OR OTHER PURPOSES AS SPONSOR AND/OR ITS DESIGNEES MAY DETERMINE WITHOUT FURTHER CONSIDERATION TO PARTICIPANTS OR ANY THIRD PARTY.

9. Disputes: Except to the extent pre-empted by federal or other applicable state law, the Competition shall be governed by the laws of the State of Texas, without giving effect to any conflict of law provisions thereof. By participating in the Competition, participants agree that any and all disputes which cannot be resolved between participant and Sponsor, and causes of action arising out of or connected with this Competition, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Texas, having competent jurisdiction, which court shall apply the laws of the State of Texas without giving effect to any conflict of law provisions thereof.

10. Privacy: Information collected from participants is subject to the Sponsor's Privacy Policy, which can be found at https://brinker.com/privacy. Participants should be aware that Sponsor may be collecting non-public, personally-identifiable information about them in connection with the operation of the Competition.

11. Sponsor/Administrator: The Sponsor is Brinker International Payroll Company, L.P., 3000 Olympus Blvd., Dallas, TX 75019. The Administrator is Don Jagoda Associates, 100 Marcus Drive, Melville, NY 11747.

12. Winners List: For a list of the Competition winners (“Winners’ List”) available for ninety (90) days after August 12, 2024, send an email to: Winners@dja.com with “Chili’s Big Smasher BurgerTime Competition” as the subject line. Winners List will be sent after the prizes have been awarded.
